Terms of Service

1. Services

Conservus.ai provides AI-powered personal assistant services, including smart home management, for residential properties. The specific scope, deliverables, timeline, pricing, and service level expectations will be defined in a separate Service Agreement executed between you and the Company prior to service commencement. These Terms govern your use of the Site and supplement any individual Service Agreement.

2. Service Area

Our services are available to residential properties within Los Angeles County and Orange County, California. We reserve the right to decline service requests outside this geographic area at our sole discretion.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms. If you are engaging our services on behalf of a household or entity, you represent that you have the authority to bind that household or entity to these Terms.

4. Client Responsibilities

You agree to:

• Provide accurate and complete information necessary for service delivery
• Maintain adequate internet connectivity and infrastructure as specified in your Service Agreement
• Grant reasonable access to your property as needed for installation and maintenance
• Not use our services for any unlawful purpose
• Not attempt to reverse engineer, modify, or tamper with any AI systems or software we deploy

5. Payment Terms

All fees, including retainer fees, setup costs, monthly service fees, and hardware procurement costs, will be detailed in your individual Service Agreement. Unless otherwise specified:

• Invoices are due within fifteen (15) days of issuance
• Late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less
• We reserve the right to suspend services for accounts more than thirty (30) days past due
• All fees are non-refundable unless otherwise stated in your Service Agreement

6. AI and Automation Disclaimer

Our AI assistant services, including smart home automation capabilities, are tools designed to assist with daily tasks, home management, and information organization. You acknowledge and agree that:

• AI systems may produce errors. AI-generated responses, recommendations, scheduling, and automations are not guaranteed to be accurate, complete, or error-free.
• Not a substitute for professional judgment. Our AI does not provide medical, legal, financial, or emergency services advice. Do not rely on AI outputs for critical decisions in these areas.
• Home automation limitations. Smart home integrations depend on third-party hardware, software, and network infrastructure. We do not guarantee uninterrupted operation of automated systems.
• Security systems. While we may integrate with home security systems, we are not a security monitoring company. We do not guarantee the prevention of unauthorized access, theft, or property damage. You are solely responsible for maintaining appropriate security measures and insurance coverage.
• No guaranteed uptime. AI and smart home services may experience downtime due to maintenance, third-party outages, internet disruption, or other factors beyond our control.

7. Intellectual Property

All content on this Site, including text, graphics, logos, images, software, and underlying technology, is the property of Conservus.ai or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

Any AI configurations, automations, or custom integrations developed specifically for your home remain the intellectual property of Conservus.ai. You receive a non-exclusive, non-transferable license to use such configurations for the duration of your active Service Agreement.

8. Confidentiality

We recognize that our services involve access to your personal routines, home layout, and private information. We will treat all client information as confidential and will not disclose it to third parties except as required to deliver our services, as disclosed in our Privacy Policy, or as required by law. You agree to keep confidential any proprietary methods, technology, or trade secrets disclosed to you through the course of service delivery.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW:

• Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to Conservus.ai in the twelve (12) months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of property value, property damage caused by third-party hardware or software failures, or damages arising from unauthorized access to your home or systems.
• We shall not be liable for any damages resulting from actions taken or not taken by AI systems, automation failures, or incorrect AI-generated information.

10. Indemnification

You agree to indemnify, defend, and hold harmless Conservus.ai, its officers, directors, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or inability to use our services; (b) your violation of these Terms; (c) any third-party claims related to your property, including personal injury or property damage not directly caused by our gross negligence or willful misconduct.

11. Warranty Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Termination

Either party may terminate these Terms and any associated Service Agreement as follows:

• By Client: With thirty (30) days' written notice to hello@conservus.ai
• By Company: With thirty (30) days' written notice for convenience, or immediately for cause (including non-payment, breach of these Terms, or misuse of services)
• Upon termination, you must pay all outstanding fees for services rendered through the termination date
• We will remove our equipment and software from your property within a reasonable time following termination, subject to scheduling
• Any pre-paid fees for unused services will be refunded on a pro-rata basis unless termination is for cause

13. Dispute Resolution

Governing Law. These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Informal Resolution. Before initiating any formal dispute resolution, both parties agree to attempt to resolve any dispute informally by contacting the other party and negotiating in good faith for a period of thirty (30) days.

Binding Arbitration. Any dispute not resolved informally shall be resolved by binding arbitration administered by JAMS in Orange County, California, under the JAMS Streamlined Arbitration Rules. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. All disputes must be brought in the parties' individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.

Small Claims Exception. Either party may bring an individual action in small claims court in Orange County, California, for disputes within the court's jurisdictional limits.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, power outages, internet service disruptions, acts of government, pandemics, or third-party technology failures.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active clients at least thirty (30) days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any individual Service Agreement, constitute the entire agreement between you and Conservus.ai regarding the subject matter herein and supersede all prior agreements and understandings.
